The position of delegate

The delegates act on behalf of the cooperative members of their section and represent them at the annual conference of delegates. Delegates are members of the cooperative themselves and are elected at their section assemblies for an ordinary term of two years. A total of 150 delegate offices are available throughout Switzerland, distributed in proportion to the number of cooperative members in the individual sections.
The members of the cooperative may, on an optional basis, elect from among the ranks of their already elected delegates Section Presidium for assistance in preparing and chairing their section assembly.

If you wish to make use of your cooperative right and play a part in shaping Mobility’s future, you have the option of being elected as a delegate for your section/region. Both delegate and replacement delegate positions are currently vacant for the upcoming parliamentary term (two years).

Tasks, rights and obligations of delegates

(Excerpt from section regulations Art. 11)

  • Delegates represent the cooperative members of their section at the conference of delegates of the Mobility Cooperative. Voting rights and the passing of resolutions at the delegates’ meeting are governed by Art. 20 of the association’s articles of association. Only delegates are admitted to the conference of delegates as representatives of the cooperative members (for an exception, see section regulations Art. 12.5).

  • Delegates must be cooperative members of the Mobility Cooperative (cf. articles of association Article 32). They obtain information about the course of business and developments of the cooperative and their own section via the various information channels available (www.mobility.ch, electronic information platform for delegates, Mobility journals, e-newsletters, annual reports, etc.). Delegates are expected to attend (physical or virtual) the following events:

  • a) Any regional section meetings
    b) Delegate Forum (in October or November)
    c) Section assembly (January to March)
    d) Conference of delegates (usually in May)

  • Delegates represent the members of the cooperative and, as such, share responsibility for the well-being of the Mobility Cooperative. On the basis of discussions in the section assemblies, the discussion at the delegates’ conference itself and the study of the documents, the delegates form their own picture and vote at the delegates’ conference according to their own discretion, to the best of their knowledge and belief and without being bound to vote by the section assembly.

  • In addition, each delegate may submit a written request for further information to the management at any time, to which the management will respond in writing within a maximum of 90 days. The request does not oblige the management to surrender sensitive and confidential information. The management decides on the content, scope, classification and distribution of the information.

  • Motions to the conference of delegates are decided by the section assemblies (see section regulations Art. 7 and Art. 8). Each delegate also has the right to submit so-called individual motions to the next conference of delegates (cf. Articles of association Art. 17). The provisions of section regulations Art. 8 para. 2, 4, 5 and 7 also apply mutatis mutandis to individual applications. Individual motions should be represented in person at the delegates’ meeting.

  • Delegates are remunerated for the performance of their duties (e.g. benefits). The amount and type of compensation are determined by the Board of Directors.

Mobility’s corporate purpose

Article 2.1 of the Articles of Association: “The cooperative’s purpose is to operate vehicles of all kinds in a politically and denominationally neutral manner through mutual self-help in a way that conserves energy, raw materials and the environment. The cooperative provides services in the field of mobility in Switzerland and abroad. To this end and against payment of a fee, the cooperative makes vehicles of all kinds available as an ecological and economical alternative to private ownership." For the same purpose, it may also offer other goods for consideration.”

Articles of association Article 19: Competences of the delegates’ meeting

1 Establishing and amending articles of association, with the exception of cases reserved for ballot voting.
2 Approving the annual report and the annual financial statements and, if applicable, Resolution on the appropriation of available earnings.
3 Discharge of the Board of Directors.
4 Election and dismissal of the members of the Board of Directors and the auditors.
5 Election and dismissal of the members of the Audit Committee and the election of two delegates to the Board Selection Committee.
6 Approving and amending the section regulations, regulations of the Audit Committee and regulations of the Board of Directors Selection Committee.
7 Decision on the appeal concerning exclusion or refusal of admission pursuant to Art. 6 and 12.
8 Passing resolutions on all other matters assigned to the conference of delegates by law or the articles of association.
